Rules and Regulations

1. The ING DIRECT "Canadian Superstar Saver Search" Contest (the "Contest") starts November 6, 2007 at 12:01 a.m. EST (the "Contest Start Date"), and ends on January 15, 2008 at 11:59 p.m. EST (the "Contest Close Date") and is available to all residents of Canada in either English or French.

2. To enter the Contest participants are asked to upload a video entry (an "Entry") that demonstrates creative ways of how they save their money between November 6, 2007 and January 15, 2008.

3. From the Entries received during the above time period, ING DIRECT will select a shortlist of ten (10) videos each in English and French from which viewers of the YouTube™ Canada web site will vote upon. The voting period will run from January 16, 2008 until January 31, 2008.

4. Entries must be in either, MOV, .AVI, .WMV or .MPG formats and must be no larger than 100MB or two minutes in length. Entries may be in either English or French and all Entrants must be at least 18 years or older.

5. Anyone may enter the Contest by uploading his/her video entry (hereinafter "Entry") on the area of the YouTube™ site (the "Site") designated for doing so for the purposes of this Contest and including his/her name, age, address and telephone number. Entries must be received by ING Bank of Canada before the Contest Closing Date and are limited to one entry per person.

6. Eligible Entries will be displayed on the YouTube™ Canada web site for judging by users of the Site. Users will be asked to select their favourite Entry based on the creativity, uniqueness, humour and originality of the Entry. Voting shall be limited to one vote per day per user.

7. One (1) winning Entry for English and one (1) winning Entry for French will be announced February 1, 2008, as determined by the votes of the YouTube™ community.

8. The winning Entries will each be awarded an ING DIRECT Canadian Dollar Investment Savings Account containing $10,000.00 (the "Prize"). This Prize is not transferable and must be accepted as awarded and shall not be exchanged for any other item. Any federal, or provincial and/or local taxes/duties are the sole responsibility of the winner. Should the winner refuse the Prize, ING Bank of Canada, its member financial institutions, their affiliated companies and advertising agencies are released from any obligation related to the Prize. ING Bank of Canada reserves the right, in its sole discretion, to substitute any Prize for a prize of equal or greater value should all or part of a Prize become unavailable for any reason.

9. By submitting a video, Entrants affirm, represent and warrant that (i) all Entries are the original work of the Entrant; (ii) the Entries do not contain any material that would violate or infringe upon the copyrights, patents, trademarks, rights of privacy or publicity, or other intellectual property rights of any person or entity ; (iii) the posting of the Entries on the web site will not infringe upon or violate the copyrights, patents, trademarks, rights of privacy or publicity or other intellectual property rights of any person or entity; (iv) to the extent that the Entries contain any third party materials and or depict the name, likeness or indicia of identity of any person living or deceased, the Entrant has secured all necessary permissions to enable inclusion and use of such materials in the Entries and posting of such materials on the web site.

10. By submitting an Entry, you agree to grant YouTube™ and ING BOC a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works or, display, and perform your Entry on their web sites.

11. Entrants are prohibited from submitting Entries that (i) contain material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless the Entrant is the owner of such rights or has permission from the rightful owner to post the material and to grant you and YouTube™ all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage YouTube™ or any third party; (iii) contain material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate.

12. Entrants agree that ING BOC and YouTube™ shall have the right to immediately remove any Entry and disqualify any Entrant who has or is suspected of violating the Official Rules of the Contest or whose Entry infringes or potentially infringes upon the intellectual property rights or other rights of any person or entity.

13. The selected Entrants will be notified by telephone and/or by mail via information contained on their entry form or in the account records of ING Bank of Canada. In order to be declared the winner, the selected entrant must first correctly answer, unaided, a time-limited, arithmetical, skill-testing question to be administered by mail, or by telephone at a pre-arranged, mutually convenient time, and then sign and return the standard declaration and release form of ING Bank of Canada, its member financial institutions, and their affiliated companies (hereinafter collectively referred to as, the "Contest Organizer"). If the selected entrant is not able to correctly answer the skill-testing question, then another entrant will be selected and the process outlined above will be repeated until a winner is declared. Failure by any selected entrant to complete, sign and return any of the aforementioned documents within 10 days after notification is sent to the address on the selected entrant's entry, or the return of Prize documents as undeliverable, may result in forfeiture of the Prize and selection of an alternate winner in the Contest Organizer's sole discretion.

14. The Contest is only open to residents of Canada who have reached the age of majority in the province in which they reside. Employees of the Contest Organizer, and their representatives, agents, advertising agencies and promotional agencies, and their immediate family members and persons they reside with are not eligible to participate.

15. By entering the Contest, entrants consent to the use of their names, addresses, and/or likenesses without compensation, worldwide and in perpetuity, in any publicity related to the Contest carried out by or for the Contest Organizer.

16. By entering the Contest, entrants agree to release and indemnify and hold harmless the Contest Organizer, any of its advertising, promotional, publicity, production and judging agencies and its directors, officers, employees and agents from any claim, loss, expense (including legal fees) or other liability, including liability for personal injury, arising from participation in the Contest or the awarding, acceptance, use or misuse of a Prize.

17. By entering the Contest, entrants consent to Contest Organizer's collection, use and disclosure of personal information to any third party with whom the Contest Organizer shares such information for the purposes of consumer research and marketing and administering the Contest.

18. The Contest is subject to all applicable federal, provincial and municipal laws. These rules govern all aspects of the Contest and are binding upon all entrants. All decisions regarding the Contest and the selection of the Prize winners are to be made by the Contest Organizer and are final.

19. All entries become property of the Contest Organizers who assume no responsibility for lost, stolen, delayed, damaged or misdirected entries or for failure of the web site during the Contest, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any email or traffic congestion on the internet or at any web site, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from playing or downloading any material in the promotion. Contest Organizers reserve the right, in their sole discretion, to cancel or suspend any portion of this Contest should a virus, bug or other cause beyond the reasonable control of Contest Organizers corrupt the security or proper administration of the Contest. Any attempt to deliberately damage any web site or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, Contest Organizers reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

20. The Contest Organizer reserves the right at its absolute discretion to vary, delete or add to any of these rules and regulations from time to time without prior notice. In the event of conflict, these Rules shall prevail over any of the contents of any brochure or other promotional materials advertising this Contest.

21. The Contest Organizer reserves the right to withdraw the Contest in whole or in part, or to vary any of the rules herein at any time and from time to time without notice at its absolute discretion. The Contest Organizer reserves the right to end the Contest earlier or to extend it further at its absolute discretion.

22. The Contest Organizer reserves the right, at its sole discretion, to suspend, disqualify, limit or revoke this Contest to any account holder it finds or believes to be manipulating or otherwise abusing the process, fairness, integrity or operation of the Contest.

23. The Contest Organizer reserves the right, with the consent of the Régie des alcools, des courses et des jeux in Québec, to cancel or modify the Contest if, at its sole discretion, it determines that for any reason the Contest is not capable of running as originally planned or if there is fraud, technical failure, printing or distribution errors, or any other causes or occurrences which have compromised the fairness or integrity of the Contest. If, as a result of an error relating to the entry process, drawing or any other aspect of the Contest, there are more potential winners of the Prizes than contemplated in the Contest rules, there will be a random draw amongst all eligible Prize claimants after the Contest Close Date to award the Prizes.

24. Québec residents: Any litigation respecting the conduct or organization of a publicity Contest in Québec may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a Prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

25.
